Prospectus
The prospectus of Arteria S.A. was drawn up in connection with the public offer of the Company’s shares in November 2006. That offer covered 860,000 series C ordinary bearer shares with the nominal value of PLN 0.20 each. The issue price of the shares offered was fixed at the maximum level of PLN 18, while the Issuer’s net proceeds from the share issue amounted to PLN 14,000,000.00.
The prospectus of Arteria S.A. also provided that, after the public offer, the total of 3,419,056 ordinary bearer shares would be admitted to trading on the official stock quotations market, covering:
2,500,000 series A ordinary bearer shares with the nominal value of PLN 0.20 each,
59,056 series B ordinary bearer shares with the nominal value of PLN 0.20 each,
860,000 series C ordinary bearer shares with the nominal value of PLN 0.20 each.
The prospectus of Arteria S.A. was approved by a decision of the Polish Financial Supervision Authority of November 3, 2006, allowing for conducting the public offer according to the adopted and approved timetable.
No annexes were published after the prospectus was made public.

Prospectus of 2006
Allotment of shares
The allotment of series C shares offered by the Company was closed on December 4, 2006. The number of correctly submitted and paid subscriptions amounted to:
- 723 subscriptions for 27,551,531 shares within the Open Tranche,
- 967 subscriptions for 600,000 shares within the Institutional Investors Tranche.
Overall, 1,690 valid subscriptions were submitted for 28,151,531 shares. 260,000 C series shares were allotted to investors in the Open Tranche, while institutional investors were allotted 600,000 shares.
Subscription reduction rate
All of the offered shares were allotted for the price of PLN 18 per share, at the predetermined maximum price.
The subscription allocation rate amounted to:
- 0.52% (reduction by 99.48%) within the Open Tranche for persons who did not participate in the book-building process,
- 1.04% (reduction by 98.96%) within the Open Tranche for persons who participated in the book-building process.
After the allotment of shares was completed, Arteria S.A. made its debut on Warsaw Stock Exchange’s Main Market on December 15, 2006; at the opening, the Company’s share price increased by 30%.

- Development of the call center
- Setting up a sales outsourcing department
- Development of decentralized sales structures
- Investment in e-commerce
- Investment in a multilingual call center
- Acquisition of an intermediary in database trading
- Exercising share options of a financial broker
- Increasing the working capital
Buyback of own shares
On November 15, 2012, the Company began repurchasing its own shares, thereby acquiring 4,300 own shares to redeem and reduce the Company’s share capital.
Buyback of the Company’s own shares was justified by the current situation on the capital market. The Company’s Management Board decided that the Company’s shares were highly undervalued. Their price was not in line with the real market value. The buyback of own shares contributed to an increase in the market value of the Company’s remaining shares.

Accordingly, the share capital of Arteria S.A. now amounts to PLN 853,904.00 and is divided into 4,269,520 shares.
Issue of series D shares
On February 5, 2010, 854,764 series D ordinary bearer shares of Arteria SA, with the nominal value of PLN 0.20 each, were admitted and introduced to the stock exchange trading under a private offer.
The company issued series D shares under a private offer for the current shareholders of Trimtab S.A. The shares were paid by in-kind contribution in the form of 100% of shares of Trimtab S.A.
An Information Memorandum drawn up in connection with the intention to apply for admittance of 854,764 series D ordinary bearer shares to trading on the regulated market was approved by the Polish Financial Supervision Authority on December 30, 2009. With reference to Current Report No. 1/2010, the Company published the Information Memorandum on January 6, 2010.

Accordingly, the share capital of Arteria S.A. amounted to PLN 854,764.00 and was divided into 4,273,820 shares.
Issue of A, B and C series
On December 15, 2006, 3,419,056 bearer shares of Arteria S.A. were admitted and introduced to the stock exchange trading under a public offer, covering:
2,500,000 series A ordinary bearer shares with the nominal value of PLN 0.20 each,
59,056 series B ordinary bearer shares with the nominal value of PLN 0.20 each,
860,000 series C ordinary bearer shares with the nominal value of PLN 0.20 each.
Accordingly, the share capital of Arteria S.A. amounted to PLN 683,811.20 and was divided into 3,419,056 shares.
